Consent to Settlement Clause
A standard provision in a Directors & Officers (D&O) policy requiring an insurance company to get the insured's approval prior to settling a claim for a specific amount. If this amount is not approved by the insured, this clause relieves the insurer from liability for any additional expenses needed to settle the claim or in paying the defense costs accrued from the date of the initial settlement recommendation. Also known as Hammer Clause and Blackmail Settlement Clause.
